Welcome to
Daprixia. These Terms of Service (“Terms”) govern your access to and use of our website and services. By engaging Daprixia for any project or using our website, you agree to be bound by these Terms.
1. Services
Daprixia provides web development, UI/UX design, branding, SEO, and related digital services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or agreement mutually agreed upon by both parties.
2. Project Proposals & Agreements
Before work begins, Daprixia will provide a detailed project proposal outlining the scope of work, deliverables, timeline, and cost. Work will commence only after written approval (via email or signed agreement) from the client. Any changes to the agreed scope may result in revised timelines and additional charges.
3. Payment Terms
- Deposit: A non-refundable deposit of 50% of the total project cost is required before work begins.
- Final Payment: The remaining 50% is due upon project completion, before final files and access credentials are delivered.
- Late Payments: Invoices unpaid beyond 15 days may incur a late fee of 5% per month. Daprixia reserves the right to pause work on any project with outstanding payments.
- Payment Methods: We accept bank transfers, UPI, and other methods as communicated during onboarding.
4. Client Responsibilities
To ensure timely delivery, clients are expected to:
- Provide all required content (text, images, logos, branding assets) in a timely manner
- Respond to feedback requests and review milestones within 5 business days
- Provide access to any necessary third-party accounts (hosting, domain registrars, etc.)
- Designate a single point of contact for project communication
Delays caused by the client may result in adjusted timelines and, in some cases, additional charges.
5. Revisions & Feedback
Each project includes up to 3 rounds of revisions per milestone, unless otherwise specified in the proposal. Additional revision rounds will be billed at our standard hourly rate. Revisions must be clearly communicated in writing (email or project management tool).
6. Intellectual Property
- Upon Full Payment: All custom designs, code, and creative assets produced specifically for your project will be transferred to you upon receipt of full payment.
- Third-Party Assets: Any stock images, fonts, plugins, or third-party tools used in the project may be subject to their own licensing terms. Daprixia will inform you of any such dependencies.
- Portfolio Rights: Daprixia reserves the right to showcase completed work in our portfolio, case studies, and marketing materials unless explicitly agreed otherwise in writing.
- Pre-Payment: Until full payment is received, all work product remains the property of Daprixia.
7. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the project. This includes but is not limited to business strategies, technical specifications, login credentials, and financial information. This obligation survives the termination of the agreement.
8. Project Cancellation & Refunds
- The initial deposit is non-refundable as it covers planning, research, and resource allocation.
- If the client cancels mid-project, payment is due for all work completed up to the cancellation date.
- If Daprixia is unable to complete the project, we will refund any payment for undelivered work.
9. Warranties & Disclaimers
Daprixia warrants that all work will be performed in a professional manner consistent with industry standards. However:
- We do not guarantee specific business results (e.g., traffic increases, sales growth, or search engine rankings) unless explicitly stated in the project agreement.
- Websites are delivered in working condition and tested across modern browsers. We are not responsible for issues arising from client modifications after delivery.
- A 30-day bug-fix period is provided after project delivery at no additional charge for any issues directly related to our work.
10. Limitation of Liability
To the fullest extent permitted by law, Daprixia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to our services. Our total liability shall not exceed the total amount paid by the client for the specific project in question.
11. Hosting & Maintenance
Unless a separate hosting or maintenance agreement is in place, Daprixia is not responsible for ongoing website hosting, updates, security patches, or domain renewals after project delivery. We offer optional maintenance packages — please contact us for details.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in India.
13. Changes to These Terms
Daprixia reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last updated” date. Continued use of our services after changes constitutes acceptance of the new Terms.
